How to register an LLC with one member

Limited liability company is the most common form of business organization in Russia. Its popularity is due to the low cost of registration, and the limited liability of the founders only by contributions to the authorized capital.

Fill out the application on form 11001, indicate the following data in it: company name, legal address, amount of registered capital, list of activities, legal address, your passport data.

To obtain a copy of the charter of the company, you need to fill out an application stating: the full name of the organization, the number and date of the decision to establish the company, your passport data.

If you intend to work with a simplified taxation system, you need to submit an application for the application of the simplified tax system along with registration documents.

At a notary public you need to verify the signature on your completed application 11001. At any branch of Sberbank, pay the fee for state registration of the LLC and the issuance of a copy of the charter (4000 rubles and 400 rubles).

Provide to the tax office at the location of the legal entity (according to the legal address): the charter of the company, the decision to create, an application for registration of the LLC, a receipt on payment of the state duty, an application for transfer to the simplified tax system, an application for a copy of the charter, information about the general director and the chief accountant of the company, information on how to deposit funds or property into the authorized capital.

5 days after the tax authority receives the package of documents for registration, you will be given: a certificate of state registration, an extract from the Unified State Register of Legal Entities, a copy of the charter and a certificate of registration with the tax authority.

To confirm the legal address of the LLC, the tax service may require a lease on the premises, a letter of guarantee from the owner and a notarized copy of the certificate of ownership.

Useful advice

The authorized capital for the registration of LLC is 10, 000 rubles. At the time of registration, it must be paid at least 50%.
