Registration of changes made to the constituent documents of a legal entity is carried out in accordance with the Federal Law "On State Registration of Legal Entities" No. 129-FZ of 08.08.2001. It is possible to change the composition of the founders of a legal entity, the amount of the authorized capital, location, types of activities of the organization.

Depending on the type of changes introduced, whether it is a change of director, a change in the name of the organization, a change in the types of activities, the state registration procedure will be carried out in different ways. The difference is in the form of the submitted application and the amount of state duty.

If the changes relate to the change of director of the enterprise, you will need the minutes of the meeting of the company members on the change of director, a notarized application form P14001, an order to appoint a new director. These documents are transmitted to the IFTS at the place of registration of the legal entity. After making changes, it is necessary to notify the bank in which the legal entity is serviced.

When changing the types of activities of a legal entity, amendments to the Unified State Register of Legal Entities are required. You will need the minutes of the meeting of the company members on making changes by type of activity, a statement filled out and certified by a notary in the form of P14001. These documents are submitted to the IFTS. The term for making changes to the Unified State Register of Legal Entities is 7 days. After that, you will be issued a Certificate of amendment of the Unified State Register of Legal Entities.

To change the name of a legal entity, you will need a protocol of the decision of the general meeting of the company participants on the change of name, an application form in form Р13001 filled out and certified by a notary, a receipt on payment of the state fee in the amount of 400 rubles, a new edition of the charter with a new name of the company. Documents are submitted to the IFTS. After changing the name, you need to change the seal, update the codes in the statistics department, get new registration numbers in off-budget funds (Pension Fund, MHIF). Be sure to notify the bank of the change in the name of the legal entity and renew the contract for banking services.

The package of documents for registering a change of address includes: a protocol with a decision on a change of legal address created based on the results of the general meeting of the founders; application for registration of changes related to amendments to the constituent documents (form 13001 with a completed sheet to the legal address); company charter; a request for a copy of the charter and the receipt for payment of state fees (for registration of changes and for a copy of the charter). Change of legal address lasts 5 days. You also need to update the statistics codes and inform about the change of address in extrabudgetary funds.

Any changes and additions that are made to the charter or constituent agreement are subject to state registration.

Useful advice

Registration of changes must be made no later than three days after the decision on changes by the general meeting of participants. Otherwise, a fine of 5, 000 rubles is threatened.
