If you start your own business, do not postpone registration for later, thinking that you are not for the tax authorities. Running a business legally means registering it. As a rule, an entrepreneur has a choice: register as an individual entrepreneur (IP) or create a legal entity (usually a limited liability company - LLC). And in fact, and in another embodiment, there are advantages and disadvantages.

An individual entrepreneur is registered only for one person, but in fact has all the rights of legal entities, freely uses the proceeds, is not required to have an authorized capital. However, he is liable for obligations with all his property. He has no right to trade in alcohol. The process of registering IP is simpler and less costly.

In LLC, all participants are liable only within the authorized capital, i.e., invested funds. To register an LLC, the authorized capital is required (while small - 10, 000 rubles, it can be contributed by property), a current account and a seal. The LLC must appoint a director. The LLC has the right to withdraw funds only for certain purposes (since the funds in the LLC’s current account belong to the company, and not to its founders). Both LLC and IP can use a simplified tax system.

To register an IP, you need to find an application form for registration of IP on the Internet, fill it out and go to the tax office, taking with you also your passport, two copies and two copies of the TIN certificate. Registration of IP in the tax office is carried out at the place of registration. In the tax you will be given a receipt to pay the state fee and sent to a notary to certify the documents. State duty - 800 rubles. The notary certifies the application, a copy of the passport and TIN for about 500-1000 rubles. Then you need to return to the tax, submit documents and write a statement on the transition to a simplified tax system in two copies. After five working days in the same tax you should receive a certificate of registration of individual entrepreneurs and an extract from the register of individual entrepreneurs (USRN). From this moment you can consider yourself a registered entrepreneur. After that, it remains only to open a bank account and get statistics codes from the Federal State Statistics Service.

LLC registration in Moscow is carried out by the Inspectorate of the Inspectorate of the Federal Tax Service No. 46. To register an LLC, you need to prepare a package of constituent documents, which will include 2 original copies of the Articles of Association of the LLC, the Protocol of the general meeting of participants on the creation of the LLC (with two or more founders) and a receipt on payment of the state fee of 4, 000 rubles. It is also necessary to provide an application (form P11001), while the signature of the applicant - one of the founders - is certified by a notary. If desired, the LLC, like the individual entrepreneur, can use a simplified taxation system, for this it is necessary to write a statement on the transition to a simplified taxation system in two copies. In five working days, the founders will receive certificates of state registration, tax registration, registered constituent documents, an extract from the Unified State Register of Legal Entities (USRLE) and documents confirming registration with the Federal State Statistics Service. Then you will need to open a bank account and order a seal.

The procedure for registering an LLC will cost about 5000-7000 rubles. If entrepreneurs turn to a specialized company, they will have to pay at least the same amount, but this will save time and effort.
