The authorized capital is formed by contributions from the founders of the company. At the first meeting, they must determine its size and structure in proportion to the share of the founders (in percent or fractions). These aspects should be recorded in the charter of the LLC. Based on the size of the contribution of the founders, their income will be determined in the future.

Further, the founders should determine the ways of creating the authorized capital. The contribution may be money, securities, tangible property or property rights.

If a decision is made to make a contribution to the charter capital by property, then if its size is exceeded, the limit is 20 thousand rubles. an independent appraiser opinion is required. In other cases, its value is determined on a contractual basis.

Ideally, at least 50% of the total authorized capital should be paid before state registration of the LLC. To do this, you need to open a savings account in a bank and credit part of the authorized capital to it.

In practice, the Federal Tax Service rarely checks the availability of funds in the account until the registration of the LLC. After completion of registration actions, it is necessary to deposit money to the company account in the amount of at least 50% by the first posting before the receipt of the first income.

Earlier during the year, it was necessary to deposit the remaining 50% of the authorized capital into the savings account. According to the latest amendments from 2014, this period was reduced to two months.

When one of the founders leaves the LLC, its share in the authorized capital is returned within three months in full.

If it is necessary to increase the size of the authorized capital, the increase cannot exceed the value of the company's net assets. At this point, its original size must be paid.

The legislative aspects of the formation of the authorized capital are contained in articles 14-25 of the Law "On LLC". According to him, the minimum authorized capital is 10 thousand rubles. Each LLC may declare in its Charter its own procedure for the formation of capital, distribution and payment of profits.
