How to register a bank

The activities of banks have always been strictly regulated by the state. Therefore, the legislation establishes a special procedure for registering banks. It is carried out by the Bank of Russia. In addition to registration, the bank will need to obtain a number of licenses for its activities.

• 1. application for state registration in the approved form;

• 2. the charter of the bank;

• 3. business plan;

• 4. protocol of the general meeting of participants containing a decision on the establishment of a bank, approval of its name, etc.;

• 5. documents on the payment of state registration fees;

• 6. documents on the founders of the bank;

• 7. documents confirming the right to the premises that the bank will occupy (lease agreement, for example);

• 8. documents for registration of the first issue of shares of the bank, if it is created in the form of a public company or a closed joint stock company.

The bank should be created in the form of a business company - a joint stock company (OJSC, ZAO) or a limited liability company (LLC). Establish a bank can both individuals and legal entities. At the same time, within three years after the establishment of the bank, they are not entitled to withdraw from its members (shareholders).

Documents required for registration of the bank are submitted to the territorial office of the Bank of Russia at the location of the future bank. They are provided in duplicate (with some exceptions - the charter is provided in four copies, the minutes and questionnaires of managers - in three). However, prior to their submission, it is necessary to send a request to the territorial institution about the possibility of using the chosen name of the bank. Within five business days, the territorial office must respond to this request. Only after such an answer can documents be submitted. Documents are considered within three months.

If the territorial office of the Bank of Russia is not satisfied with the submitted documents, it can send its comments to the documents. This will allow the founders of the bank to make adjustments to the documents. If there are no comments on the documents, then a positive conclusion about this with the documents is sent to the Bank of Russia - to the Department of licensing of activities and financial recovery of credit organizations of the Bank of Russia. Within six months, the Bank of Russia considers the application and documents verified by the territorial institution, its conclusion. If he makes a positive decision, then he sends the relevant requests for registration of the bank to the registration authority (to the tax office) and for registration of the first issue of shares.

The basis for issuing licenses to the bank is one hundred percent payment of its authorized capital. The following types of licenses may be issued to a bank:

1. for banking operations with funds in rubles;

2. for banking operations with funds in foreign currency;

3. to attract deposits and placement of precious metals;

4. to attract deposits from individuals in rubles or foreign currency.

To obtain a license, you must submit an application to the territorial office of the Bank of Russia.

The minimum amount of the bank’s authorized capital on the day of filing an application for its state registration and issuance of a license for banking operations is established in the amount of 180 million rubles. Contributions to the authorized capital of a bank may be money, the building in which the bank will be located, ATMs and terminals, and other similar property.
