How to open a business in Ukraine

The laws of Ukraine allow foreigners to conduct business in its territory. The simplest options for its legalization are registration of TOV (analogue of LLC) and SPD (analogue of IP). The registration of business entities, unlike the Russian Federation, is not done by tax authorities, but by municipal authorities.

You will need

• - passport;

• - Ukrainian identification code (analogue of the Russian TIN);

• - a document on the right to reside in Ukraine (only for SPD);

• - a package of documents for registration of TOV or SPD.

Preparatory measures depend on what organizational and legal form a foreigner will choose for his business. In any case, you will need to get an identification code (analogue of the Russian TIN). For this, a passport (if necessary translated into Ukrainian or Russian) and a migration card are enough.

If it is planned to register TOV (a partnership with a deferred vіdpovіdalnіsttyu - Ukrainian analogue of LLC), no other measures are required. But for the registration of a business entity, it is necessary to solve the issue of a long stay in the country at the OVIR, and this must be started.

Upon completion of this formality, you can collect a package of documents for registration. There are several more for TOV than for SPD. It is necessary to prepare and notarize two copies of the charter to the notary, draw up a decision on the establishment of the company, resolve issues with the introduction of the authorized capital (most often by money through a bank) and legal address (rental of non-residential premises or home address of one of the founders in the country).

Only a passport, a confirmation of the legality of a long stay and an identification code are required from the future SPD.

Documents for registration of TOV, SPD and other business entities are accepted by special departments of district executive committees or other municipal authorities at the city or oblast level. The registration procedure for a full package takes several days.

Then, the company or entrepreneur needs to be registered with the tax service, extra-budgetary funds and statistics agency, open a bank account and order a seal (for SPD is optional, but its presence may be a prerequisite for obtaining a license for a number of activities).

After that, a new company or entrepreneur can conduct a full-fledged business.
