Modern legislation makes very stringent requirements for entrepreneurs who make any changes to the charter documents of their organization. This concerns both the re-registration procedure and its terms.

Organize a meeting of shareholders at which questions on amendments to the charter of the OJSC will be considered, conduct a vote, the results of which must be recorded by the secretary without fail.

Make changes to the charter of the company that have been approved by a general vote of the shareholders. It is worth paying special attention to the fact that the amendments to the charter of the OJSC must comply with the legislation of the Russian Federation and be notarized.

Next, you need to fill out an application in the form P13001 or 14001. Verify these documents with a notary public. For example, if you decide to make changes related to the change in the main activity of the company, you will need to fill out two forms - P13001 - changes to the constituent documents, and P14001 - to make changes to the Unified State Register of Legal Entities.

Make a request for a charter. Pay the state fee - 800 rubles, (400 rubles - for amendments, 400 rubles - for the issuance of the charter).

Prepare a full package of documents: protocol (original) - 2 copies, directly, the charter itself, with amendments - 2 copies, form 13P001 or P14001 - 1 copy, a request for a charter - 2 copies, as well as a receipt for payment of state duty for making changes and for issuing the amended charter.

After all the documents are collected, contact the Federal Tax Service to officially register changes to the charter of the OJSC. According to the legislation of the Russian Federation, the process of processing the relevant documents lasts five business days.

Another important point: the notary will require you to receive a certificate of state registration, the charter of a company, and a protocol on amendments to the charter of a company. Be prepared to provide copies and original.
