An alliance is a community or an association of several organizations, enterprises, the interaction of which is based on mutually beneficial cooperation and obligations supported by an agreement. If the cooperation does not suit or its contractual terms are not respected, the contract can be terminated and the community dissolved.

When combining several organizations, partners are required to comply with all the conditions specified in the contract concluded during the creation of the alliance. Any violation of obligations leads to the fact that cooperation ceases to be mutually beneficial, therefore, it cannot suit business partners. Such relationships lead to the nullity of the contract.

To dissolve the alliance, gather all the business partners. Notify everyone in writing about the convening of an extraordinary meeting of the alliance by sending a letter by e-mail or using the services of the Russian post.

At any official meeting, a protocol is kept and a general decision is made, so when you dissolve the alliance, record everything and collect the signatures of all members of the community.

If the alliance was created from commercial organizations of a closed joint-stock company, it is enough to conduct a general vote and add the results to the protocol. The alliance of a closed joint-stock company does not lead to the division of a controlling stake, therefore, having dissolved the community, each organization will remain in its own interests. Merger, separation of shareholders is not recorded in the register.

When creating an alliance from a union of commercial organizations LLC, any shareholder may be a holder of shares of another organization. Therefore, when dissolving the alliance, it is necessary not only to enter all the information into the minutes of the general meeting, but also to submit information to the tax inspectorate to amend the Unified State Register of Legal Entities (Federal Law No. 115-F3 of July 19, 1998).

If the separation of the alliance occurs due to financial losses, all issues of compensation are resolved in the manner prescribed by law. If it is impossible to reach an agreement through peaceful negotiations, file a petition with the court, attach the contract concluded between the members of the alliance at its creation, and a package of documents confirming your financial losses.
