Many organizations are increasingly resorting to this procedure, as re-registering an LLC is much easier than completely eliminating it. First, the former participants of the LLC must sign the following documents:

- Protocol with a decision on the sale of shares (be sure to indicate who is being sold);

- the contract and the act of sale of equity, - notice of the transaction (in 3 copies: 1 - to the former participants of the LLC, 1 - to the future, 1 - to the registration authority of the Federal Tax Service).

Further, the future participants of the LLC should appoint a new General Director and Chief Accountant. After this, the new Charter and the constituent agreement of the organization should be edited and approved (if the re-registration took place for more than 2 participants). Notify the registration authority. Legally, the old company ceases to exist and on its basis a new organization appears, possibly with a different legal address and name.

New members of the LLC must necessarily register with the tax service the changes in the constituent documents of the organization so that the former members do not claim for the shares sold.
