If you decide to carry out the LLC registration process yourself, you will need founders. There should be no more than fifty, but most often several founders are indicated. You can specify one founder. By organizing an LLC, you can record the founders of both individuals and legal entities.

To register an LLC, it is necessary to make an authorized capital. Its minimum size is 10 thousand rubles. At registration, at least half of the amount is required. The contribution may not only be in cash. It is permissible to contribute authorized capital with property. The rest of the authorized capital can be contributed within a year from the moment you opened the company.

The charter of the LLC is another document that must be prepared. When developing the charter, it is necessary to take into account the requirements of the law. You can take a standard model as a basis and, having processed it to the needs of your own company, write the final version.

Prepare the documents and take them to the registration authorities. The specific list of documents depends on who will be the founder. Legal entities must bring copies of constituent documentation to the registering authority. In addition, a certificate of state registration must be included in the package of documents, and a certificate of tax registration of the company will also be required. In this case, we are talking about those organizations that were registered on the territory of the Russian Federation.

If the founders are Russian citizens, they must submit the TIN and photocopies of their passports to register the LLC. Legislation permits foreign nationals to be founders. In this case, a photocopy of the passport of a foreign citizen and its translation, which must be certified by a notary, must be included in the package of documents.

When registering a foreign company, foreign companies provide one or two original extracts from the commercial register of the country in which the company was registered. If it is not possible to provide an extract, the foreign company may present to the registration authority any document on the basis of which it can be verified that the foreign company has legal status.

In the package of documents, attach information about the director of the LLC, chief accountant. It is necessary to submit copies of the passport, TIN, zip code, phone number and address. Indicate the name of the company, details of the bank in which the current account of the company is opened. Attach documents on payment of state duty. The package of documents may also include a license or documents on entry into the SRO.
