The law states that each organization created is subject to state registration. After completing the entire registration procedure, the organization is considered created and receives the status of a legal entity.

It is possible to register an organization by providing the following documents:

  1. The application, which is made in any form and signed by the founder.
  2. Memorandum of Association or decision to create an organization.
  3. Articles of association. The charter of any newly created organization shall indicate the type of activity that will be carried out by this organization.
  4. Documents that confirm the payment of 50% of the charter capital of the organization specified in the memorandum of association.
  5. State duty payment receipts.
  6. A document that confirms the consent of the antimonopoly authority to create an organization. This is necessary when the size of the authorized capital may exceed the rate established by the antimonopoly legislation of the Russian Federation.
  7. A document received in the management of property, giving consent to the method of payment of the contribution of the organization.
  8. The presence of a legal address.

You can register an organization 3 days after the last submission of all documents. The provision of letters of guarantee that confirm the location of the organization is not required.

When registering, a number is assigned in the registry and stamp in the organization’s charter and signed by the official responsible for registration.

Within a week, the registration authority informs the tax inspectorate about the newly registered organization for inclusion in the Unified State Register.

After registration, the organization receives a certificate of registration and within 10 days it is necessary to register with the tax office, providing the documents:

  1. Application for registration.
  2. Copies of constituent documents certified by a notary office.
  3. Copy of registration certificate.

As a result, the organization is assigned a TIN. If registration takes place after 10 days, the organization will be fined.

When an organization opens a current account, a certificate is required confirming the registration of this organization.

The organization, in addition to the tax authority, must register with the Pension and other social funds.
