How to register a cooperative

A cooperative is an association of organizations or people to achieve a common social or economic goal, which is designed to satisfy the material or other needs of participants. Since the cooperative is a legal entity, its registration is based on the law of the Russian Federation "On state registration of legal entities and individual entrepreneurs".

Gather a general meeting of the founders of the cooperative. Draw up the minutes of the general meeting, which notes the decision to establish a cooperative. In the minutes of the meeting, it is necessary to note all the participants in the cooperative who confirm their agreement with the decisions taken by signature. Select the legal form for the cooperative and its name.

Set the size of the authorized capital. Approve the governing bodies of the cooperative. Determine the size of the contributions of each member of the cooperative in the authorized capital and the order of their contribution. Before registration, each member of the cooperative must make at least a tenth of their contribution to the charter capital. The remaining amount is paid within a year after registration. Make a charter and memorandum of association for the participants Define the registration address of the cooperative.

Write a statement on the state registration of the cooperative in accordance with form P11001. Pay the state registration fee. Submit all documents in duplicate, including a receipt and a statement, to the tax authority. He, in turn, will make an appropriate entry in the state register of legal entities on the created cooperative within five working days. The territorial authority for taxes and fees will put the cooperative in the tax service at the location of the created cooperative. If the submitted documents are filled out incorrectly, then they will be returned to you for revision. Having corrected all the shortcomings, return the documents to the tax officer who is in charge of your cooperative.

Get the documents confirming the entry on the creation of the cooperative as a legal entity in the Unified State Register of Legal Entities. The cooperative will be assigned an individual OGRN number.

Open a cooperative bank account with a bank. Notify the tax office about opening a bank account.
