How to open an LLC in Russia

In order to open a business with the legal form of a limited liability company, it is necessary to register it with the tax inspectorate by filling out an appropriate application. A number of documents should be attached to it, which include a decision to create a company, charter and others.

To begin, make a number of important decisions, namely:

- what your organization will be called;

- who will be the founders;

- who will take the post of the sole executive body;

- what will be the size of the authorized capital.

Gather the council of founders and make a decision on the creation of the company in the form of a protocol, which must be signed by the chairman and secretary of the constituent assembly.

In the application form on form P11001, indicate as the legal form - limited liability company, name of the enterprise in accordance with the charter. Enter the address of the organization. Write the number of founders who are participants in the company, and, accordingly, fill in the same number of sheets B of the application. Enter their personal data in them.

As a rule, the contribution of LLC participants is made in the form of authorized capital. Indicate its size. Write the number of persons who can act on behalf of the company without a power of attorney. Usually this is a director, write about him on sheet E of the application.

Verify the completed application with a notary, putting in his presence a personal signature. Submit it to the tax authority with the necessary package of documents. Within five days, your company will be registered, and you will be able to carry out its activities.
