To register a limited liability company means to enter information about this legal entity in the Unified State Register of Legal Entities. The procedure for registering an LLC is strictly regulated. Registration and issuance of a certificate of state registration of LLC is carried out by the bodies of the Federal Tax Service of Russia.

Define the composition of the founders of the company.

Prepare a memorandum and articles of association. The founders conclude an agreement between themselves on the establishment of the company, which contains information on the size of the authorized capital, the size and value of shares, the procedure for payment of the authorized capital, and the obligation to register the company.

Prepare the charter of the company.

Hold a constituent assembly. The results of the constituent assembly are recorded in the minutes. The protocol shall reflect the name and address of the company, the composition of the founders, information on the approval of the charter, the person who is entrusted with the registration of the company.

If there is only one founder, no meeting is required. The decision to create a company is formalized by the decision of a single participant.

If the authorized capital is paid in cash, you must open a bank account and deposit cash, at least 50%.

Pay the state fee for the registration of LLC in the amount of a certain Art. 333.33 of the Tax Code of the Russian Federation.

Submit registration documents:

- the application in the prescribed form is signed by the person indicated in the protocol on the establishment of the company;

- constituent documents;

- decision to create;

- documents confirming the payment of the authorized capital;

- document on payment of state duty.

After the delivery of documents, the applicant is issued a receipt.

Registration takes place within five business days from the date of submission of all necessary documents.
