How to make an atelier

By law, any business must be registered. But for registration it is not necessary to create a legal entity. A small business, for example, an atelier can be registered as an individual entrepreneur. If you decided to create an atelier, you probably already thought about what form it is better to register. Atelier is a small business, and a legal entity is not necessary for it at all, especially if you create it alone, without partners. On the other hand, an individual entrepreneur has a more serious responsibility than a legal entity.

Responsibility is the main difference between a legal entity (LLC) and an individual entrepreneur (IP). An individual entrepreneur is liable to the law with all his property (namely, personal property, i.e. including a house, a car, etc.). The LLC is liable only with its share in the authorized capital, although in case of bankruptcy in case of insufficient property, the LLC may be liable for subsidiary liability for its obligations.

An atelier in the form of an LLC is executed as follows: you collect the package of documents indicated below, pay the state fee, which is currently 4, 000 rubles, and submit the package of documents and the receipt of payment of state duty to the tax office (in Moscow this is tax office No. 46). Registration takes an average week. Documents for her need the following:

2. Documents for the founders, manager and chief accountant;

3. Receipt of payment of state duty;

4. The decision to establish an LLC;

5. The charter of the LLC;

6. The agreement on the establishment of the LLC.

The last three documents must be notarized. The authorized capital of the LLC is currently 10, 000 rubles. It must be put into a bank account specially opened for LLC. It is also necessary to order the seal of LLC.

To register as an individual entrepreneur, you must contact the tax office at the place of registration and provide:

1. The application for state registration, notarized (you can download here: http://www.nalog.ru/gosreg/reg_fl/ );

2. Copies of personal documents notarized;

3. Receipt of payment of state duty (800 rubles).

It is not necessary to print IP, but it is usually needed.

Your studio can begin to work from the moment of state registration of the LLC or you as an individual entrepreneur. Thus, on the date of state registration, the studio can be considered legally executed.
