How to change the name of the organization

At various stages of the organization's activities, it may be necessary to change its name. The procedure for registering changes in the name of an LLC or IP is regulated by Federal Laws No. 129-ФЗ (dated August 8, 2001) and No. 14-ФЗ (dated February 8, 1998).

Prepare a draft mutable data in the constituent documents of the organization. Hold a general meeting of the founders of the organization, based on the results of which a protocol should be drawn up on amendments to the charter documents. In this case, between the founders an agreement is concluded on the establishment, where the procedure for carrying out activities is determined, the size of the authorized capital, as well as the size and value of the share of each of the founders, is revealed.

Make an application for state registration of all changes made to the constituent documents of the organization, and submit it to the tax office at the location of the executive body of the organization. Verify it with your seal and signature, whose authenticity must be verified by a notary. To find out the procedure for filling out the existing application form, read Order of the Federal Tax Service No. SAE-Z-09/16, paragraph A (dated November 1, 2004). The application must be submitted both in paper and in electronic form.

Attach to the application all the statutory documents of your organization (certified copies), which should contain the information necessary for the re-registration of the name. Pay the state fee in the amount established by law, having received the details for issuing a receipt at the tax authorities. Please note: both the application and the package of documents can be sent by mail to the appropriate branch of the tax authorities by registered post with a notification.

If, in addition to the name, you decide to change the legal address of the organization, the tax authorities will have to make changes to the Unified State Register of Legal Entities / Unified State Register of Legal Entities and forward your registration file to your colleagues in accordance with the new address.

Receive in the tax office within 5 days from the date of filing the documents a new certificate of updated records in the Unified State Register of Legal Entities / USRIP. To obtain certified copies of the new statutory documents of your organization, make a statement. Attach the originals of the required documents to it and send it to the tax authorities.
