The Civil Code of the Russian Federation provides for several types of commercial legal entities, however, entrepreneurs most often create a limited liability company or conduct business activities without registering a legal entity as individual entrepreneurs.

Initially, you need to start with planning future business activities. There are many nuances in obtaining licenses, employment, taxation, accounting, which should be studied and taken into account when choosing the form of enterprise. A legal entity can be created by one or more people. If there is only one, then he must draw up his decision as the decision of the sole founder, if there are several founders, then the minutes of the general meeting of the founders are drawn up. In any case, these documents should contain information:

- On the legal form of the created legal entity;

- about the name;

- about the legal address;

- on the formation and size of the authorized capital, which of the founders contributes how much and in what form. If the authorized capital is contributed by the property, it must be evaluated by an independent expert;

- On the approval of the Charter of a legal entity.

The next step is to prepare an application in the form of P11001 - this is a universal application form for state registration of a legal entity, which contains information about the form of the enterprise being created, its name, legal address, founders (individual or legal entity, their data and the size of the shares in the charter capital), economic activity code and other information. It is necessary to fill out and submit those sheets in the quantity that is necessary for a particular case.

Important: this statement is signed by one of the founders in the presence of a notary public, as the notary makes a mark, then all the sheets are stitched and sealed under the signature of the notary.

For registration of legal entities, the state takes a fee of 4, 000 rubles. Payment details can be found in the tax office, which will conduct the registration, that is, at the legal address of the created legal entity. A receipt must be provided when submitting a general package of documents.
