How to register a representative office

In order to open a representative office, you should register it with the tax authority at the location, providing the necessary package of documents. The representative office is not a separate legal entity and must be subject to the provisions laid down in the charter of the organization

You will need

• - documents of the organization;

• - company seal;

• - forms of relevant documents;

• - lease agreement at the location of the representative office;

• - The Tax Code of the Russian Federation.

Make a protocol stating the reason and date of establishment of the representative office. The decision must be signed by the director of the enterprise and certified by the seal of the organization. Based on this document, write a statement on the representative office, assure it with the seal and signature of the notary.

Make a protocol, which will indicate the appointment of an individual to the post of director of the representative office, indicate his surname, name, patronymic. Verify the document with the company seal and signature of the head of the organization. Based on the decision, issue an order for the appointment of the director of the representative office, assign the date and number to the document. Assure the order with the seal of the company and the signature of the general director of the enterprise.

Write a power of attorney in the name of the appointed director of the representative office, in which indicate the ability to act on behalf of the legal entity (creating organization) upon presentation of this document. Assure the power of attorney with the seal of the company and the signature of the CEO of the company.

Make a decision on the appointment of an individual to the post of chief accountant of the representative office, indicate in the document his last name, first name and patronymic. Assure the decision with the seal of the enterprise, signed by the head of the organization. Based on the decision, issue an order to take office of the chief accountant of the representative office, indicate the date and number of the document. Assure him with the seal of the creating company and the signature of the head of the company.

Write a company letter addressed to the tax office at the place of establishment of the representative office stating that the tax burden falls on the creating organization. Assure him with the seal of the company and the signature of the head of the enterprise.

Submit notarized copies of the constituent documents of the enterprise, a notarized copy of the power of attorney to the director of the representative office, a notarized contract for the rental of the representative office, an application for registration with the tax authority and the above documents must be submitted to the tax authority at the location of the representative office.
