The contract for the supply of goods concluded between the seller and the buyer is one of the most common and standard documents. If the seller is unreliable, you risk concluding such an agreement. According to Art. 432 of the Civil Code of the Russian Federation, an agreement is considered concluded only if both parties confirm their agreement with all the essential conditions specified in it. Therefore, the presence of such conditions in the text of this document is required. One of them is a clause describing the subject of the contract. In your case, this is the name of the product and its quantity. In the contract you can use the general description of the goods: "finishing materials", "women's clothing", "stationery", but be sure to write down the necessary assortment and quantity in detail in the application, specification or application. And do not forget to refer to the application document in the text of the contract itself.

Terms on the price, size of a specific consignment, terms of delivery also agree with the seller in the specification, application, waybill or a separate application list. These documents should also contain a link confirming that the listed product is the subject of this contract.

Clearly write down in the text of the contract the procedure for coordination of the supplied assortment of goods, their quantity and delivery dates for each particular batch. The approval document may also be a provisional application or an invoice.

The procedure for drawing up the contract is as follows: first, the buyer sends the seller a preliminary application, which indicates the necessary assortment, quantity, delivery time and cost of the goods (if the quantity of goods is expressed in monetary terms). The seller agrees the proposed conditions, signs the application and sends it to the buyer by fax or e-mail.

Based on a preliminary application agreed with the supplier, draw up a contract. Before drawing up and receiving the original contract, keep all copies of electronic documents so that you can verify the original material conditions. In the text of the contract, write the provision that the seller and the buyer exchanged applications electronically or by fax. This will help you secure yourself in court if the original documents are missing.
