How to open an LLC in Ukraine

The opening of a limited liability company in Ukraine is considered the optimal legal form for business due to the simplicity of registration and minimal costs. In addition, laws allow foreigners to act as founders.

To begin with, a foreigner who plans to become the founder of a Ukrainian legal entity must contact the territorial division of the tax inspectorate (STAU - State Tax Administration of Ukraine) and obtain an identification code (a local analogue of the Russian TIN). He is required to present a passport (the Russians prefer an internal one, since they need information about registration), photocopies of his pages with personal data and information about his place of residence, a migration card received at the border and a photocopy of it.

The passport must be translated into Ukrainian or Russian (Russian citizens do not need a translation). The procedure is free, cases of refusal to assign a code are unknown.

Then you need to prepare a package of documents for registration of LLC. The set is generally equivalent to the Russian one: the decision to create an LLC, the charter (in Ukraine this document is certified by a notary), confirmation that the authorized capital has been paid (since 2010 the minimum amount is only 869 hryvnias, money is deposited into a temporary account that can be opened in any bank), and legal address. The legal address of LLC in Ukraine may be the address of the registration of any of the founders. A foreigner in such a case will have to purchase a house or register with someone. However, the option of renting an office or industrial premises is also possible, but strictly from a non-residential fund.

You can pay the registration cathedral (state duty) in the amount of 170 hryvnias through Oschadbank of Ukraine (the Ukrainian equivalent of Sberbank of the Russian Federation). And get the registration card directly at the registration authority, where to apply with all the documents (2 copies of the charter, a decision on opening a company, a document on making authorized capital) and a receipt on payment of the registration fee. In Ukraine, the registration of firms is not done by the tax authorities, as in the Russian Federation, but by a division of the administration of a district, city or region.

By law, the registration of LLC in Ukraine takes up to three business days. After that, the company needs to be registered with the tax service, statistics agencies and compulsory social insurance. For full-fledged activity, you also need to open a bank account and make a seal.

The director of a registered LLC can only be a citizen of Ukraine. So when registering a company by a foreigner who wants to head it on his own, you must first find a nominee director from local citizens, and then after registration, obtain a work permit in Ukraine for a foreign founder and only after completing these formalities officially transfer him directorial powers.
