How to withdraw from a supply contract

The supply contract is an important document governing the relations of business partners. For fruitful work, it is necessary to comply with legislative provisions and clearly stipulate the consequences of a possible refusal to fulfill obligations.

Pay due attention to the provisions of the supply agreement still at the development stage. Refusal to implement it must be provided for by business partners and involve a reasonable and conflict-free settlement. Either pinpoint the cases when one of the partners may refuse to fulfill the existing contract unilaterally, or give it the unconditional right of refusal.

Please note that in the presence of the wording in a specific supply agreement: “A party has the right to refuse to execute it by sending a timely notice of refusal to the other party”, the reason for the cancellation of the agreement and the occurrence of certain legal consequences becomes completely unimportant.

Refuse to fulfill obligations based on insurmountable or changing circumstances as provided for by law. However, keep in mind that in this case, the party that initiated the refusal must act, not violating, but protecting the rights of the business partner.

Feel free to justify your refusal to fulfill the contract in cases provided by law. The buyer with full right may not fulfill the delivery conditions and demand a refund.

This decision is fully justified if the seller refuses to transfer the sold consignment of goods, in the absence of the necessary documents or related items that were not provided to him on time, when a smaller volume of products is received than is stipulated by the contract, and also if the assortment does not comply his requirements. The basis for refusal may also be the detection of various violations of product quality, the transfer to the buyer of defective, deformed or understaffed products.

Please note that the seller can also refuse to fulfill the delivery contract if the buyer, in violation of the law or the terms of the contract, refuses to accept the goods. In this case, the seller has every right to demand his acceptance by the buyer.

Refuse to fulfill your obligations and demand the return of the goods sold to the buyer if he has not paid or if the amount of payment does not exceed half of the total cost of the consignment.

If you periodically receive goods with deficiencies that are not resolved within a reasonable time, or there are repeated violations of the delivery or payment terms, as well as with frequent non-selection of goods, refuse to comply with the terms of the supply agreement.
