LLC registration: how to forget nothing

Registration of an LLC is actually the entry of all the necessary information about this business enterprise into the Unified State Register. Moreover, the procedure for registering companies in the form of LLC is strictly regulated.

Think about how many people should be on the founders of the company. After that, gather all the founders and agree together who and who will be in this company.

Draw up a memorandum of association, and after that you can proceed with the drafting of the charter. The founders need to conclude this agreement on the establishment of an LLC. It will contain all the basic information: how much is the amount of the authorized capital, the cost and size of shares, the procedure for making the authorized capital and the obligations of the company after its registration.

Hold a general meeting and send invitations to it for all the founders of the limited liability company. The results of the constituent assembly should be recorded in the minutes. Also, in the same document, it is necessary to reflect the legal address and name of the formed LLC, the composition of the founders, information on the approval of the charter.

Record in the protocol who is the person who is entrusted with the registration of the enterprise.

In turn, if the company has only one founder, then there is no need for a meeting. In this case, the decision to create a company in the form of an LLC is formalized by the decision of a single person (the founder himself).

Deposit the amount of the share capital. If it was decided to pay in cash, you need to open a current savings bank account and deposit at least half of the money immediately.

Pay the state fee in the amount that is charged for the consideration of the application for registration of the LLC and can only be determined by the Tax Code.

Prepare the necessary set of documents for LLC registration: - constituent documents; - application drawn up in accordance with the established form; - decision on the formation of the company; - document confirming the introduction of the authorized capital; - document on payment of state duty.

Submit all of the above documents to the state registration service.
