How to close a representative office

A foreign company may close its representative office in the Russian Federation for many reasons. It may take at least six months to complete all the procedures for processing documents for closing.

You will need

• - original permission to open your representative office

• - the original certificate of entry of your representative office in the consolidated state register

• - accreditation cards of employees of your company’s representative office, as well as their family members (if any)

• - valid multiple visas of employees and their families (if any)

• - a certified copy of the power of attorney to the authorized person to conduct business on closing the representative office

• - seal of representation

Check out the procedure for closing a representative office of a foreign company in Russia. In accordance with applicable law, a representative office may be closed in the following cases: - upon the expiration of the accreditation period (if you are not interested in renewing it); - in connection with the liquidation of a foreign company; - by decision of the founders of the company.

Notify the FSI SRC with the Ministry of Justice of the Russian Federation of your decision to close the representative office. Pay the state fee for paperwork and get a receipt. Receive letters from the FSI SRC to notify you of the closure of the representative office. They will need to be sent to the tax, migration and customs authorities, as well as to extrabudgetary funds for final settlement, and receive appropriate notifications. Contact the bank where you have an account, which must be closed in accordance with the terms of a previously concluded agreement.

Prepare other documents necessary for closing the representative office, namely: - the original permission to open your representative office; - the original certificate of entry of your representative office in the consolidated state register; - accreditation cards of employees of your company’s representative office, as well as their family members (if any); - valid multiple-entry visas of employees and their families (if any); - a certified copy of a power of attorney to an authorized person to conduct business to close a representative office; - a seal of representation property.

Make an inventory of documents and submit them to the FSI SRC with the Ministry of Justice of the Russian Federation. After the representative office of your company is excluded from the relevant registers, as well as from the USREO (upon notification of the tax authorities), its activity in the Russian Federation will be considered completed.
