How to open a company in Belarus

The procedure for opening a company in Belarus is similar to the Russian one. However, it has its own small features, therefore it is better to entrust this procedure to lawyers. If you do not have such an opportunity, then remember that you need to proceed according to the following algorithm: determining the legal form, preparing and submitting documents, obtaining registration documents, ordering a press, opening a bank account, informing the funds about the director and accountant of the company.

• To register an LLC in Belarus, you will need the following documents:

• 1. documents of the founders of the company (passport);

• 2. letter of guarantee on the legal address of the company;

• 3. copies of the passports of directors;

• 4. protocol on the establishment;

• 5. a document for the representative;

• 6. charter of the LLC;

• 7. application for registration;

• 8. receipt of state duty.

Decide on the legal form of your future company. The most common option is LLC. Remember that LLC in Belarus, unlike Russia, can create only two or more persons. If there are two or three founders, then they must appear together to register the company, if more, they are entitled to send one of them.

A package of documents for registration of an LLC is submitted to the City District Administration in which you intend to establish a company. The registrar must accept your documents and verify them. In the future, he makes an entry about the registration of the LLC in the Unified State Register of Legal Entities and Individual Entrepreneurs, and also carries out registration of the company with the tax authority, statistics agency, social security fund, and registration with Belgosstrakh.

After five business days, registration must be completed. Upon completion, you will be issued with the documents on registration of the LLC (certificate of state registration, notifications of assignment of a taxpayer registration number, registration with funds).

Next, you should contact the company for the manufacture of seals with a copy of the registered charter. If you have such a copy, you will make a company seal. You will need the same copy of the charter, as well as the founders' passports and the originals of registration documents to open a bank account. The final step will be to submit to the social security fund data on the accountant and director of the LLC, a copy of the state registration certificate and a copy of the charter. Information about the accountant and director must also be submitted to Belgosstrakh.
