The creation of a limited liability company should be carried out within the framework of the current legislation of the Russian Federation, in particular the Federal Law "On Limited Liability Companies". For registration, it is necessary to prepare two copies of the organization’s charter, two decisions or protocols on creation, fill out applications for the tax authority in the form P11001 (application for state registration of a legal entity upon creation), the form is subject to notarization. At the time of filing the application, the authorized capital of the company must be paid at 50%, therefore, it is necessary to submit a document confirming the payment of the authorized capital. State registration of a legal entity is paid, and a document confirming payment of the state fee must be attached to the application for registration. The number of participants in a limited liability company can be from one to fifty, but no more, the restriction is established by law.

After state registration of a limited liability company, which takes five working days, the applicant is issued with a certificate of state registration of a legal entity, an extract from the unified state register of legal entities, one copy of the charter certified by the tax authority. After obtaining the OGRN certificate, it is necessary to register with the tax authority at the location of the organization, receive an information letter from the statistical committee, a notice of registration with the pension fund, social and medical insurance fund. Get a certificate on opening a current account and provide information to the tax authority. Submit an application on the possibility of applying a particular taxation system and receive appropriate notification.
