How to open IP for two

The owner of a company with the legal form "individual entrepreneur" can be only one individual. For two or more people, Russian law allows the opening of a limited liability company. Two registered IPs can enter into a partnership and share profits among themselves.

If you think about it and decide to open a company with the legal form of a limited liability company, then you should draw up a protocol. The document spells out the decision of the founders to create an LLC. The protocol is signed by both participants, one of them being the chairman, the other being the secretary of the board of founders.

Make a charter of the company, in which indicate the name of the Company, the size of the authorized capital, other conditions required by the federal law on LLC. Conclude a memorandum of association, which prescribes the features of the distribution of shares in the capital of the organization.

Fill out the application for state registration of a legal entity (using form P11001). Fill in the information about both founders (personal data, passport details, address of residence) on sheets A of this form, which you print in duplicate, as the company has two participants.

Pay the state fee, a receipt for its payment, the above listed documents, submit the completed application to the tax authority. Receive a receipt about their receipt from the tax officer who accepted the documents. Within 5 days you will be able to receive a certificate of registration and will be entitled to carry out activities.

If you prefer to register two companies as an individual entrepreneur, then decide on the types of activities that both companies will carry out. For each organization, fill out an application on form p21001, where you enter information about the owners. Pay the state fee (when registering an IP, its size is 400 rubles).

According to Articles 180, 278 of the Tax Code of the Russian Federation, you have the right to draw up an agreement on joint activities (also called a simple partnership agreement). It is concluded in order to profit. Each individual entrepreneur must make a contribution, its value is prescribed in the contract. If this is not indicated, then the shares are recognized equal. The contract is drawn up for a specified period or indefinitely. Moreover, the liability of partners is prescribed, as well as the grounds and procedure for terminating the contract. In a partnership, the parties are entitled to set VAT on the import of goods.
